  • Truthfully describe their experience with the platform.

Viuzi may use users' trade names in client lists or generic promotional materials. For uses requiring the user's logo or corporate image, prior consent will be requested.

Usernames and profiles that coincide with registered third-party trademarks may be subject to a claim through this Policy's notification procedure.

Trademark usage guidelines are available upon request to legal@viuzi.com.

5.3. Commercial Use

Any commercial use of Viuzi's marks requires express written authorisation from VIUZI ESP, SL. Authorisation requests must be directed to: legal@viuzi.com

6. Third-Party Intellectual Property

6.1. Respect for Third-Party Rights

Platform users commit to respecting the intellectual property rights of third parties and not to publish, share or use on the platform any content that infringes such rights.

6.2. Third-Party Content on the Platform

The platform may contain references, links or integrations with third-party services (for example, Google for authentication, Stripe for payments). The intellectual property rights over these services belong to their respective owners.

6.3. Disclaimer

VIUZI ESP, SL does not guarantee that content published by users on the platform does not infringe the intellectual property rights of third parties. Responsibility for such content lies exclusively with the user who publishes it, in accordance with Section 3.3 of this Policy.

7. Portfolio and Work Samples

7.1. Portfolio Ownership

Service Providers retain full ownership of the intellectual property rights over their portfolio content, including photographs, images, videos, designs and any other material showing their previous work.

7.2. Portfolio Licence

By publishing portfolio content on the platform, the Service Provider grants VIUZI ESP, SL the licence described in Section 2.3 of this Policy.

7.3. Portfolio Protection

  • Portfolio content is displayed to other platform users as part of the Provider's public profile.
  • Platform users are not authorised to copy, download, redistribute or reuse other users' portfolio content without the express authorisation of the rights holder.
  • VIUZI ESP, SL will implement reasonable measures to protect portfolio content from unauthorised use, including content moderation and handling infringement notifications.

7.4. Work Performed Through the Platform

Important note: The default rule established in this section may not correspond to the usual contractual expectations in B2B relationships. It is strongly recommended that Providers and Requesters expressly agree on intellectual property ownership before commencing work.

The intellectual property rights over work performed through the Viuzi platform (i.e., services provided by a Provider to a Requester) will be governed by what is agreed between the parties.

Distinction between pre-existing intellectual property (background IP) and intellectual property resulting from the work (foreground IP):

  • Pre-existing intellectual property (background IP) of each party remains under their ownership in all cases, regardless of what is agreed between the parties or the default rules in this section.
  • Only the intellectual property resulting from the work (foreground IP) is subject to the default rule established below.

Important note for Requesters: In the absence of a written agreement between the parties, the intellectual property resulting from the work (foreground IP) remains with the Provider. If your intention is to acquire ownership of the IP of the deliverables, you must expressly agree this with the Provider before work commences. Viuzi strongly recommends formalising this agreement in writing.

Default rule (absence of express agreement):

In the absence of an express agreement on the foreground IP, the Requester obtains a perpetual, non-exclusive licence, non-sub-licensable without the Provider's consent, limited to the territory and purposes of the engagement. The intellectual property rights over the work performed remain with the Service Provider in all cases, unless expressly assigned.

VIUZI ESP, SL is not a party to the relationship between Provider and Requester with respect to intellectual property rights over work performed.

Moral rights. In accordance with continental European law, including the Spanish Intellectual Property Law (Royal Legislative Decree 1/1996), moral rights (the right of attribution, the right to the integrity of the work) are inalienable and non-waivable. Even when foreground IP is transferred to the Requester by agreement between the parties, the moral rights of the author will remain with the Provider (or the individual creator). The parties should take this limitation into account when negotiating IP assignment terms.

8. Use of Content for Artificial Intelligence

VIUZI ESP, SL will not use User-generated content (portfolios, photographs, service descriptions, reviews) to train artificial intelligence or machine learning models without the User's explicit and separate consent, in accordance with Article 4 of Directive (EU) 2019/790 on copyright and related rights in the Digital Single Market. Users retain their opt-out right with respect to the use of their content for text and data mining in accordance with Article 4(3) of that Directive. Viuzi's automated moderation system (which uses Amazon Rekognition and Amazon Comprehend) processes Users' content exclusively for real-time moderation purposes and does not store or use such content for model training.

8.1. Content Generated through Artificial Intelligence

In accordance with Regulation (EU) 2024/1689 (AI Act), Viuzi complies with obligations as a deployer of AI classification systems (content moderation). Users who upload AI-generated content are responsible for complying with the transparency and labelling obligations of the AI Act.

Users who upload content generated through artificial intelligence should be aware that:

  • (a) such content may not be protected by copyright;
  • (b) the user remains responsible for ensuring it does not infringe third-party rights;
  • (c) the content must comply with the AI Act's transparency obligations if applicable.

9. User Content Indemnification

Users agree to indemnify, defend and hold harmless VIUZI ESP, SL, its officers, employees and agents from and against any claims, damages, costs (including reasonable legal fees) or liability arising from third-party claims for intellectual property infringement related to content uploaded by the User to the Platform.

The user's indemnification obligation is limited to the greater of: (a) the commissions paid by the user in the 12 months preceding the claim, or (b) the value of the disputed transaction. This limitation does not apply in cases of wilful or grossly negligent infringements.

The infringing User will be obligated to actively cooperate with VIUZI ESP, SL in managing the claim, providing the necessary information and documentation for its defence, and refraining from any act that could aggravate the situation.

This indemnification obligation will survive the termination of the User's account.

10. Trade Secret Protection

Users who access confidential business information or trade secrets during service provision (for example, proprietary processes, system configurations, customer information) are obligated to maintain the confidentiality of such information, in accordance with Directive (EU) 2016/943 on the protection of trade secrets. The unlawful disclosure, use or acquisition of trade secrets obtained through the Platform will be grounds for immediate account termination and may give rise to civil and criminal liability.

11. Safe Harbour and Platform Liability

VIUZI ESP, SL acts as a hosting service provider in accordance with Article 6 of the Digital Services Regulation (EU) 2022/2065 (DSA). Viuzi does not assume liability for intellectual property content published by users as long as it acts diligently to remove it or disable access to it after obtaining actual knowledge of its infringing nature, in accordance with the notice-and-action procedure described in Section 4.

12. Third-Party Software Components and Open Source Licences

The Platform uses components under open source licences (MIT, Apache 2.0, among others). Viuzi complies with the obligations of each licence. The list of open source components and their licences is available upon request to legal@viuzi.com. The reverse engineering prohibitions established in Section 1.3 do not affect rights conferred by open source licences on the corresponding components.

13.2. API Use Licence

VIUZI ESP, SL may grant API use licences to third parties for the development of integrations, subject to the conditions established in the API terms of use and prior written agreement.

13.3. Restrictions

Users and third parties who access the Viuzi API may not:

  • Reverse engineer, decompile or disassemble the API.
  • Use the API to develop a competitor service or one substantially similar to Viuzi.
  • Exceed usage limits, subject to the usage limits published in the API technical documentation (available in the Platform's developer section), which may be updated periodically.
  • Share API access credentials with unauthorised third parties.

13.4. Ownership of Integrations

The intellectual property rights over integrations developed by third parties using the Viuzi API belong to their respective developers, without prejudice to VIUZI ESP, SL's rights over the underlying API.

14. Applicable Law

14.1. Regulatory Framework
