2. Scope and Acceptance

1.1. These Marketplace Terms (hereinafter, the "Terms") govern the relationship between VIUZI ESP, SL (hereinafter, "Viuzi", "the Platform" or "we") and the professional users who offer services through the Viuzi platform (hereinafter, "Service Providers" or "professional users"), in accordance with Regulation (EU) 2019/1150 of the European Parliament and of the Council of 20 June 2019 on promoting fairness and transparency for business users of online intermediation services (hereinafter, the "P2B Regulation").

1.2. Viuzi is a services marketplace that connects Service Providers (with the SERVICE_PROVIDER_ADMIN role) with Service Requesters (with the SERVICE_REQUESTER_ADMIN role). The Platform acts exclusively as an intermediary and is not a party to the service contracts concluded between Providers and Requesters.

1.3. These Terms apply to any professional user who registers on Viuzi with the intention of offering services through the Platform, regardless of their legal form or country of establishment within the European Union or the European Economic Area.

1.4. Accessing and using the Platform as a Service Provider implies full acceptance of these Terms. Viuzi shall make a copy of the current Terms available to the professional user at all times, accessible from their control panel. VIUZI ESP, SL will maintain an archive of previous versions of these Terms, accessible from the Professional User's control panel, to facilitate comparison between versions. These Terms are publicly available at https://www.viuzi.com/legal/terminos-del-marketplace prior to registration, in accordance with Article 3(1) of Regulation (EU) 2019/1150.

1.5. Restriction to Legal Entities. The Platform is intended exclusively for legal entities (companies, businesses, entities with separate legal personality) and self-employed professionals acting in the exercise of their commercial or professional activity. Registration as a Service Provider or Service Requester requires acting in the capacity of a legal entity or professional. Natural persons not acting in the exercise of a commercial or professional activity may not register on the Platform.

1.6. These Terms are supplemented by the Payment and Refund Policy, the Privacy Policy and the Platform's Terms of Service.

3. Registration and Onboarding Process

2.1. Account Creation

To use Viuzi as a Service Provider, the user must complete the following steps:

a) Initial registration: Create an account using Google authentication (Google Login). The system assigns a unique account per email address. The same email address always corresponds to the same account.

b) Role selection: After the first login, the user must select the SERVICE_PROVIDER_ADMIN role via the corresponding endpoint. This assignment is immutable and cannot be changed afterwards.

c) Subscription plan selection: The Provider must select a plan from those available (FREE, BASIC, PROFESSIONAL or ENTERPRISE), each with different limits and conditions as described in Section 5.

2.2. Profile Completeness

The Provider must complete their professional profile to achieve the PROFILE_COMPLETE status. An incomplete profile limits visibility and the ability to receive job invitations. Profile completeness includes, at a minimum:

  • Business identification data.
  • Description of services offered.
  • Service areas (geographical coverage zones).
  • Skills and service categories.
  • Profile photograph or company logo.

2.3. KYC (Know Your Customer) Verification

a) All Service Providers are subject to an identity verification process administered by the Viuzi team. Verification requires the submission of documentation proving identity and, where applicable, the capacity to provide the services offered.

b) Documentation must mandatorily include:

  • Business documentation (company registration, VAT number, tax identification number or equivalent).
  • Valid identity document or passport of the authorised representative.
  • Relevant professional certifications.
  • Public liability insurance policy (if applicable to the type of service).
  • Any other document that the Platform reasonably deems necessary to verify the Provider's identity and capacity.

c) KYC verification approval is a prerequisite for accessing certain Platform functionalities, including receiving payments through Stripe Connect.

d) Viuzi reserves the right to request additional documentation at any time if there are reasonable indications of irregularity or if applicable regulations so require.

e) VIUZI ESP, SL will complete the review of KYC documentation within a maximum period of ten (10) business days from receipt of the complete documentation. In the event of denial, the User will receive a notification with the specific reasons and will have the opportunity to rectify the deficiencies or appeal the decision through the internal complaints system (Section 8).

2.4. Professional Insurance

Providers offering services in regulated categories (construction, electrical installations, plumbing, gas, and others requiring professional authorisation) must maintain a valid professional liability insurance policy with minimum coverage adequate to the nature of the services provided. Proof of insurance may be required as part of the verification process.

2.5. Professional Licences and Authorisations

Providers declare and warrant that they hold and will maintain all licences, permits, certifications and professional authorisations required by applicable law in their jurisdiction for the provision of the services they offer through the Platform. Viuzi may request documentary evidence of such authorisations at any time.

4. Service Listings and Visibility

3.1. Appearance in Search Results

Service Providers appear in the Platform's search results when their profile, service areas and skills match a Requester's search criteria. The Platform uses Atlas Search for indexing and full-text search.

3.2. Ranking Parameters (Article 5 of the P2B Regulation)

In accordance with Article 5 of Regulation (EU) 2019/1150, Viuzi transparently discloses the main parameters that determine the ranking of Providers in search results and job invitations. The parameters are as follows, listed in order of their relative weight in the algorithm:

a) Geographical proximity: The distance between the Provider's location or their declared service area and the location of the requested job. Providers closer to the job receive higher priority.

b) Average rating: The average score awarded by Requesters upon the completion of jobs. A higher rating improves the ranking position.

c) Response rate: The percentage of invitations to which the Provider has responded within the established deadline. A higher response rate indicates greater reliability and improves the position.

d) Subscription plan level: Providers with higher-level plans (BASIC and PROFESSIONAL) receive priority in visibility over Providers on the FREE plan. Specifically:

  • Providers on the PROFESSIONAL plan receive maximum visibility priority.
  • Providers on the BASIC plan receive intermediate priority.
  • Providers on the FREE plan receive standard visibility.
  • Providers on the ENTERPRISE plan receive individually negotiated visibility conditions.

e) Verification badge: Providers who have successfully completed the KYC verification process receive a verification badge that improves their ranking position.

f) Availability: The availability status declared by the Provider and the remaining capacity according to their subscription plan (available concurrent and monthly jobs).

g) Completion history: The percentage of jobs successfully completed relative to the total number of jobs accepted.

The ranking advantage derived from subscribing to a higher-tier Plan constitutes an indirect influence through remuneration on ranking, within the meaning of Article 5(3) of Regulation (EU) 2019/1150. There is no possibility of directly influencing ranking through additional payments outside the subscription system.

Requester behavioural data (contracting history, preferences) does NOT influence the ranking of Providers.

3.3. Modification of Ranking Parameters

Any substantial modification to the ranking parameters will be notified to professional users with a minimum advance notice of thirty (30) days, in accordance with the provisions of Section 13 of these Terms.

5. Job Matching and Invitation System

4.1. Job Matching

When a Requester publishes a job on the Platform, the system identifies eligible Providers based on the following criteria:

a) Service areas: The job must be located within at least one of the service areas declared by the Provider.

b) Skills and categories: The skills required by the job must match the skills declared by the Provider.

c) Availability: The Provider must have available capacity according to their plan limits (concurrent and monthly jobs).

d) Profile status: The Provider must have a complete profile (PROFILE_COMPLETE) and an active account.

4.2. Invitation Flow

The lifecycle of a job invitation follows these states:

  1. INVITED: The Requester or the system sends an invitation to the Provider. Invitations will have an expiry period of 72 hours for IMMEDIATE urgency, 7 days for TODAY, and 14 days for SCHEDULED, after which they will automatically transition to EXPIRED status.
  2. PROPOSED: The Provider responds to the invitation with a proposal (including price in the case of QUOTE-type jobs).
  3. ACCEPTED: The Requester accepts the Provider's proposal. At this point, the Requester's payment method is verified via a Stripe SetupIntent, but no charge or fund hold is made. Acceptance of a proposal forms the service contract between the Provider and the Requester. Said contract is governed by the law agreed by the parties or, in its absence, by the Rome I Regulation (EC 593/2008). Viuzi is not a party to the contract but facilitates mediation in the event of a dispute.
  4. IN_PROGRESS: The Provider begins execution of the job.
  5. WORK_DONE: The Provider marks the job as completed.
  6. COMPLETED: The Requester confirms the completion and quality of the job. If the Requester neither confirms nor disputes within 7 business days of WORK_DONE, the system will automatically confirm the COMPLETED status.
  7. SETTLED: Payment is processed and funds are transferred to the Provider, after deduction of the Platform commission.

Terminal states (non-reversible) are: REJECTED (the Provider rejects the invitation), WITHDRAWN (the Requester withdraws the invitation or proposal) and EXPIRED (the invitation or proposal expires through inactivity).

4.3. Cooling-off Periods and Frequency Limits

To ensure fairness in the distribution of opportunities and to prevent saturation, the Platform applies cooling-off (cooldown) periods and frequency limits on the sending of invitations. These limits vary according to the Requester's subscription plan and are designed to prevent system abuse. Cooldown limits per plan are published at https://www.viuzi.com/pricing and are updated periodically.

4.4. Pricing Models

The Platform supports two pricing models for jobs:

a) FIXED (Fixed price): The Requester sets the price of the service when publishing the job. Providers can accept or decline the job at the stated price.

b) QUOTE: Providers submit their price proposals when responding to the invitation. The Requester selects the proposal they consider most appropriate.

4.5. Urgency Levels

Jobs may have the following urgency levels: IMMEDIATE (immediate execution), TODAY (same-day execution) and SCHEDULED (scheduled for a future date).

6. Pricing and Commissions

5.1. Platform Commission

Viuzi charges a percentage commission on the total price of each completed and settled job. The commission percentage varies according to the Provider's subscription plan:

PlanPlatform CommissionPercentage
FREEStandard commission5%
BASICReduced commission vs FREE plan3.5%
PROFESSIONALFurther reduced commission2%
ENTERPRISEIndividually negotiated commissionAs agreed

Tax Treatment. All Platform Commissions are expressed as net amounts, excluding VAT or other applicable indirect taxes. VIUZI ESP, SL, as a VAT-registered entity in Spain (ESB05735576), will issue invoices with the applicable VAT: (a) For professional Users established in other EU Member States with a valid intra-Community VAT number: the reverse charge mechanism will apply in accordance with Article 196 of Directive 2006/112/EC; (b) For Users established in Spain: Spanish VAT at the current rate (currently 21%) will apply; (c) For Users established outside the EU: the transaction will be VAT-exempt.

The commission percentages indicated in the table above are those in force at the date of these Terms. The specific percentages applicable to the Provider's account form an integral part of the contractual conditions of the contracted plan and are communicated to the Provider clearly and unequivocally at the time of subscription, prior to entering into the contract. Any modification will be notified with thirty (30) days' advance notice.

The current subscription prices for each plan are published at https://www.viuzi.com/pricing and form an integral part of these Terms. The prices applicable to each subscription period will be those in force at the time of contracting or renewal.

5.3. Subscription Billing

Subscriptions are billed through Stripe. Billing details, renewal periods and cancellation policy are described in the Payment and Refund Policy.

Stripe payment processing fees (currently approximately 1.5% + EUR 0.25 for European cards, subject to the current rate published at stripe.com/pricing) are borne by the Provider and are deducted from the amount to be transferred, in addition to the Platform Commission.

7. Payment Processing and Settlement

6.1. Payment Processor

Viuzi uses Stripe as its payment processor. Service Providers must complete the Stripe Connect onboarding process in order to receive payments through the Platform.

6.2. Settlement Flow

The payment flow follows these stages:

a) Payment method verification: When the Requester accepts a proposal, the system verifies the payment method via a Stripe SetupIntent. No charge, hold or prior authorisation of funds is made at this point.

b) Charge to the Requester: Once the job reaches COMPLETED status, the settlement process is initiated. The system processes the actual charge to the Requester for the total agreed job amount.

c) Invoice generation: The system automatically generates:

  • A service invoice (with the Provider as issuer) for the job amount.
  • A Platform commission invoice for the intermediation fees.

d) Transfer to the Provider: Once the charge is confirmed, the funds are transferred to the Provider via Stripe Connect, after deduction of the Platform commission and observing the payout delay applicable to their subscription plan.

6.2bis. Self-Billing Authorisation

The Platform generates invoices on behalf of the Provider under a self-billing arrangement. By accepting these Terms, the Provider expressly authorises VIUZI ESP, SL to issue invoices on their behalf, in accordance with Royal Decree 1619/2012 approving the Invoicing Regulation and Article 224 of VAT Directive 2006/112/EC. The Provider agrees not to issue their own invoices for transactions covered by this self-billing arrangement. The Provider is entitled to review each invoice issued on their behalf and to reject any incorrect invoice by notifying legal@viuzi.com within fifteen (15) business days of issuance. In the event of rejection, VIUZI ESP, SL will issue a corrective invoice within five (5) business days.

Self-invoices will be retained for a minimum period of seven (7) years. The Provider shall notify Viuzi of any change in their VAT registration status within fifteen (15) days of the change.

6.2ter. Failed Charge

In the event that the charge to the Requester fails after transitioning to COMPLETED status: (a) Viuzi will make up to three (3) additional charge attempts over seven (7) calendar days; (b) The Requester will be notified immediately and required to update their payment method within forty-eight (48) hours; (c) If the charge is not completed, the Requester's account may be suspended in accordance with Section 10; (d) The Provider will be informed of the charge status and their recovery options; (e) Viuzi does not guarantee collection and does not act as guarantor of payment between the parties. The Requester's payment obligation is independent of the success of the payment method.

6.3. Currency

The primary operating currency of the Platform is the euro (EUR). Prices, commissions and payments are expressed and processed in EUR unless another currency is explicitly indicated.

6.4. Payout Delay
